These Terms of Service ("Terms") govern your use of the Gorder POS system and services provided by Gorder Technologies Ltd ("Company", "we", "us", "our"), a company registered in England and Wales.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Definitions

"Services" means the Gorder POS software, online ordering integrations, and related services
"Customer" or "you" means the business or individual using our Services
"User" means any person authorised by the Customer to use the Services
"Subscription" means the paid plan selected by the Customer

2. Service Description

Gorder provides a cloud-based point-of-sale (POS) system that includes:

POS terminal software
Online order management
Caller ID integration
Reporting and analytics
Kitchen printing capabilities
Customer management

3. Account Registration

To use our Services, you must:

Provide accurate, current, and complete information
Maintain and update your information
Keep your account credentials secure
Notify us immediately of any unauthorized use
Be at least 18 years old or the age of majority in your jurisdiction

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans as detailed on our website. All prices are in GBP (£) and exclude VAT unless stated otherwise.

4.2 Billing

Subscriptions are billed monthly or annually in advance
Payments are processed through secure third-party payment processors
VAT will be added to all invoices where applicable
Failed payments may result in service suspension

4.3 Refunds

Monthly subscriptions: No refunds for partial months
Annual subscriptions: Pro-rata refund available within 30 days
Setup fees are non-refundable

5. Free Trial

If we offer a free trial:

The trial period is clearly stated at signup
Credit card details may be required
You will be charged automatically unless you cancel before the trial ends
We may limit trial features or data

6. Use of Services

6.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms.

6.2 Prohibited Use

You agree NOT to:

Violate any applicable laws or regulations
Infringe intellectual property rights
Transmit malicious code or viruses
Attempt to gain unauthorized access
Use the Services to send spam or unsolicited messages
Reverse engineer or copy the software
Resell or sublicense the Services

7. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using our Services, you consent to such processing and warrant that all data provided is accurate.

7.1 Customer Data

You retain ownership of all data you enter into the system
We will not access your data except as necessary to provide Services or as required by law
You are responsible for maintaining backups of your data

7.2 Data Security

We implement industry-standard security measures, but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

8. Intellectual Property

All rights, title, and interest in and to the Services (excluding your content) are and will remain the exclusive property of Gorder Technologies Ltd. Our trademarks and trade dress may not be used without our prior written consent.

9. Service Availability

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with or without notice.

9.2 Service Modifications

We reserve the right to:

Modify or discontinue any part of the Services
Update pricing with 30 days' notice
Change features or functionality

10. Third-Party Services

Our Services may integrate with third-party services (e.g., CloudWaitress, GloriaFood, payment processors). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting support. Termination is effective at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account:

For violation of these Terms
For non-payment
If required by law
If your use of the Services poses a security risk

11.3 Effect of Termination

Your access to the Services will cease
We may delete your data after 30 days
You remain liable for any outstanding charges
You may request a data export within 30 days

12. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Services will meet your requirements
The Services will be uninterrupted, timely, or error-free
Results obtained from the Services will be accurate

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW:

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
THIS INCLUDES LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES

This limitation applies even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless Gorder Technologies Ltd from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any rights of another party

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after such notification constitutes acceptance of the new Terms.

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and Gorder Technologies Ltd regarding the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

19. UK-Specific Provisions

19.1 Consumer Rights

If you are a consumer (as defined by the Consumer Rights Act 2015), you have additional rights which cannot be excluded. These Terms do not affect those statutory rights.

19.2 HMRC Compliance

Our Services are designed to help you comply with HMRC requirements for record-keeping and tax reporting. However, you remain responsible for ensuring your use of the Services complies with all applicable tax laws.
